TERMS & CONDITIONS

1. Consultancy

Waterside Consultancy Ltd (The Consultancy) will provide [xx] (The Client) with consultancy services by [xx] . Any proposed change to this will be discussed with the client and confirmed in writing prior to the change.

The Consultancy shall be entitled to supply its services to any third party during the term of the work undertaken and will not compromise the supply of its services to the Client.

The Consultancy warrants that its staff have the necessary skills and qualifications to perform the Consultancy Services.

2. Consultant’s Obligations

The Consultancy agrees that it and its staff will:

  1. Not engage in any conduct detrimental to the interests of the Client which includes any conduct which brings the Client into disrepute.
  2. Comply with all the Client’s own Policies and Procedures during the contract period including but not limited to Health & Safety and Data Protection Laws
  3. Provide the Client with any progress reports that may be required from time to time
  4. Notify the client in writing immediately should it become insolvent, dissolved or subject to a winding up petition
  5. To provide at its own cost any equipment for the purposes of working at home or on assignment, as is reasonable for the adequate performance by the staff of the Consultancy
  6. Inform the Client of any reason why a member of staff cannot perform consultancy services due to incapacity by no later than 10.00 am on the first day of incapacity
  7. Bear the cost of any training which it’s staff may require to perform the consultancy services (unless otherwise agreed with the client)
  8. Keep all computer equipment used off site and any associated software covered by the latest anti-virus protection

3. Client’s Obligations

The Client is expected to:

  1. Provide access to facilities and equipment on site where the Project Manager is required to be based for work for the duration of the Contract
  2. Provide reasonable support and guidance to the Project Manager to enable the completion of the Consultancy to a standard satisfactory to the Client
  3. Pay submitted invoices within 30 days of submission by the Consultancy
  4. Provide access to organisation policies and procedures to allow compliance by the Project Manager
  5. Arrange for any required security clearance checks according to it's own policies and procedures for the Project Manager appointed by the Consultancy
  6. Keep confidential any commercial information relating to the Consultancy

4. Fees & Charges

A daily rate (+ VAT) is charged for Interim Management/Consultancy, depending on the level that the project/assignment requires during the length of the contract. This includes travel expenses to and from assignment base. Additional travel and overnight stay required for events or conferences whilst on assignment will be charged as extras.

The Consultancy will submit a monthly invoice for days worked in the previous month to the Client.

The Consultancy will be responsible for any PAYE Income Tax and any NI contributions and any other taxes and deductions payable in respect of its own staff for the Assignment. Interim Managers sourced by the Consultancy will be responsible for their own PAYE arrangements.

All payments will be made to the Consultancy.

If the Consultancy is unable for any reason to provide the Client with services, no fee shall be payable by the Client.

5. The Contract

All contracts will be negotiated and agreed on an individual basis with each client and may be extended at a later date in agreement with the Client. Monthly meetings between the Project Manager and the Client will take place and contract extensions agreed at least one month before the end of the current contract.

6. Acknowledgement

The Consultancy acknowledges that all copyright, trademarks, patents and other intellectual property rights deriving from services carried out by the Consultancy and its staff, for the duration of the Contract shall belong to the Client

7. Confidentiality

The Consultancy will undertake to protect the confidentiality and any trade secrets of any Client and will observe the duty to keep secret all information given to it or gained in confidence. The Consultancy and its staff will submit any information required for security clearance necessary for work with Government Departments.

8. Terms of Reference

Detailed terms of reference with objectives for delivery will be agreed with the Client within the first week of operation and reviewed on a monthly basis to ensure delivery.
